What is a California registered agent?

Registered agents in California can be commercial or non-commercial, either an organization or an individual living in the state. You furnish the registered agent name and address on your formation documents filed with the state. The CA registered agent is responsible for receiving annual report notices and legal notices on your behalf, and forwarding them to your company. California registered agents must have a physical location in California and be present at that location during normal business hours. Generally a deputy or process server will deliver the court papers to the California resident agent’s address. Attorneys may also deliver some court papers by certified mail to the California registered agent at the registered office address, and that will be legal proof that you have been served, whether your registered agent delivers it to your company or not. What types of businesses are required to have California registered agents?

Domestic and foreign corporations, professional corporations, nonprofits, domestic and foreign LLCs, plus LPs and LLPs must maintain a registered agent with the CA Secretary of State, Business Entities Program.

This costs corporations $25 and LLCs $20. If you must make the change outside of your filing period, you mail in an Amended Statement of Information for free with the registered agent information change. Limited Partnerships and Limited Liability Partnerships can change their registered agent by filing an Amendment to Certificate of Limited Partnership by mail with a $30 filing fee.
